These Terms of Service constitute a legally binding agreement between you (the "User") and Donaria, which sets out the rights, obligations, and responsibilities of the User and Donaria in relation to the use of our Services.
By using our Service, you acknowledge that you have read, understood, accepted and agreed to these Terms of Service. As a result, you agree to be legally bound by these Terms of Service and related documents, which we may update from time to time, in accordance with applicable regulations.
Your access to and use of the Services constitute your acceptance of and agreement to abide by each of these Terms of Service as set forth below. If you do not accept and agree to be bound by any of these Terms of Service, you are not permitted to access or use our Services.
The Services are not for use within any country or jurisdiction or by any persons where such use would constitute a violation of law. If this applies to you, you are not permitted to access or use the Services.
These Terms of Service may be amended or updated from time to time without prior notice. By continuing to use our Services after such changes, you accept any modifications to these Terms.
Article 1: Definitions
Unless otherwise specified in these Terms of Service, the following terms shall be defined, interpreted, and understood as follows:
- "Account"
- means a valid user account used by the User on Donaria Platform identified with user identification (user ID) or username.
- "Channel"
- means a creator's donation page and associated settings, accessible via a unique URL identifier (slug) on the Donaria Platform.
- "Creator"
- means a User who has created a Channel and receives Donations through the Donaria Platform.
- "Donation"
- means a voluntary financial contribution made by a Donor to a Creator through the Donaria Platform, which may include an optional message and/or media attachment.
- "Donor"
- means a User who makes a Donation to a Creator through the Donaria Platform.
- "Payment Gateway"
- means a licensed payment gateway service provider that cooperates with Donaria to facilitate payment transactions within the Donaria Platform.
- "Personal Data"
- means data of an individual who is identified or can be identified individually or in combination with other information either directly or indirectly through electronic or non-electronic systems as regulated in applicable laws and regulations.
- "Privacy Policy"
- means the privacy policy of Donaria, which explains how we process your Personal Data and can be viewed at /privacy.
- "Platform Fee"
- means the fixed 3% service fee deducted from each Donation, as further described in Article 7.
- "Services"
- means services which are owned, administered and provided by Donaria through the Donaria Platform, including but not limited to donation processing, streaming alerts, goals, marathon timers, and overlay widgets.
- "Donaria Platform"
- means the website accessible at donaria.id (or other domains), including its subdomains, mobile applications, tablet applications, and other smart devices, as well as application programming interfaces (APIs) through which we provide Services.
- "User" or "You"
- means any individual who accesses and uses the Donaria Platform, whether creating an Account or not.
- "We", "Us", "Our" or "Donaria"
- means the entity operating the Donaria Platform and providing the Services.
Article 2: Our Services
The Services we own, manage, and provide through the Donaria Platform include the following:
- Donation processing and management
- Streaming alert overlays and widgets
- Real-time donation notifications via WebSocket
- Donation goals and progress tracking
- Marathon timer functionality
- Media attachment support (images and videos)
- Payout processing to Creators
- OBS-compatible overlay integration
These Services may be modified, enhanced, or discontinued by us from time to time at our sole discretion.
Article 3: Eligibility and Account Creation
To be eligible to be a User and to use our Service, you must:
- Create and register an Account on the Donaria Platform by providing us with such information as may be required from time to time for the purposes of creating such Account
- Be at least 18 years of age, or have obtained consent from your parent, guardian, or other authorized adult who agrees to be bound by these Terms of Service
- Have the legal capacity to enter into a valid legal agreement in accordance with applicable laws
- Have fulfilled, and continue to fulfill, the eligibility requirements and assessments as may be required under the Donaria Platform from time to time
By creating an Account, you represent and warrant that you are eligible and meet all the requirements above.
As a condition of using the Account, you agree to:
- Provide true, accurate, current and complete information about yourself as prompted by any registration forms
- Maintain the confidentiality and security of your Account and login details and immediately inform us of any potential compromise
- Keep your registration data and any other information provided to us accurate, current, and complete, and promptly update it as necessary
- Promptly inform us of any significant changes to information or circumstances that may impact your eligibility to continue using our Services
- Assume full responsibility for all activity and actions that occur through the use of your Account
- Ensure your Account is used responsibly and lawfully, taking measures to prevent its involvement in any prohibited activities
- Comply with our operating procedures, as may be communicated to you from time to time
We shall not be liable for any losses incurred by you due to your failure to maintain the security of your Account or for providing access to your Account to any parties other than us.
You are prohibited from transferring or assigning any rights or obligations related to your Account and/or the Services.
Article 4: Prohibited Uses
You hereby agree and undertake not to use Donaria to carry out actions that:
- Violate applicable laws or regulations
- Violate our rights or third-party rights including but not limited to privacy rights, copyrights, trademarks, patents, trade secrets, or other intellectual property rights
- Damage or potentially damage or disrupt Donaria's reputation
- Send spam or commit fraud (scam) to other Users
- Post content that contains explicit, sensitive or offensive materials, including but not limited to:
- Explicit adult content such as sexual content (pornography, nudity), sexual services, or graphic descriptions
- Violent content such as graphic depictions of violence, gore, or brutality
- Profanity and offensive language, including content with strong language or derogatory terms, hate speech, intimidation or abuse targeting any individual, group or institution
- Sensitive topics, including discussion or images that might be distressing or controversial, such as racism, political activities leading to disruption, or similar issues
- Content promoting illegal activities or transactions
- Use the Services for transactions of goods or services with a purpose of tax avoidance
- Collect donations for political campaigns, illegal organizations, or activities that violate applicable laws
- Engage in any activities that we deem, in our sole discretion, to be inappropriate and unacceptable
Article 5: Account Suspension
We reserve the right to suspend, block, restrict access to, or close an Account at any time, without prior notice or your consent, for any of the following reasons:
- We discover that your Account is being used by a third party or has been compromised in any manner, whether due to your actions or otherwise
- We determine that you are using the Account and/or Services inappropriately, illegally, or in a manner that violates these Terms of Service
- You engage in prohibited activities as described in Article 4
- You provide false, inaccurate, or misleading information
- You fail to comply with applicable laws or regulations
We shall not be liable for any losses of any kind that you may incur as a result of your Account being suspended for any reason. You shall be liable for any losses of any kind that you may incur in such circumstances.
Article 6: Personal Data Processing
By accessing the Services, you acknowledge and agree that we may collect, retain, or disclose your Personal Data for the purpose of providing the Services, in accordance with applicable laws. Further provisions regarding Personal Data processing may be accessed in our Privacy Policy.
Article 7: Payment and Fees
The User acknowledges that Donaria is not a financial institution, payment service provider, or any other entity offering similar services. To facilitate the User's use of the Services on the Donaria Platform, Donaria collaborates with Payment Gateways.
By using the Services, the User acknowledges and agrees to the payment service terms provided by the Payment Gateway and understands that all responsibilities related to any payment for the Services lie with the Payment Gateway.
Platform Fee
Donaria charges a fixed Platform Fee of 3% on each Donation received by Creators. This fee is:
- Fixed at 3% regardless of the number of Donations received
- Deducted automatically when a Donation is completed successfully
- Non-negotiable and applies uniformly to all Creators
- Separate from any fees charged by the Payment Gateway
The Platform Fee will be deducted from the gross Donation amount before the net amount is credited to the Creator's account balance.
Payment Gateway Fees
In addition to the Platform Fee, Payment Gateways may charge their own fees for processing payments. These fees are determined by the Payment Gateway and are separate from Donaria's Platform Fee. The User acknowledges and agrees that all Payment Gateway fees, taxes and other costs related to the Donaria Platform will be borne by the User.
Payouts
Creators may request to withdraw their account balance (net Donations after Platform Fee deduction) through the Donaria Platform, subject to:
- Minimum withdrawal amount requirements as may be established by Donaria from time to time
- Verification of identity and account information
- Processing times as determined by the Payment Gateway
- Any withdrawal fees that may apply
Withdrawal requests are processed according to the policies of the Payment Gateway. Donaria is not responsible for delays or issues arising from Payment Gateway processing.
Transaction Records
In the event of any disputes between the User and Donaria concerning the record of completed and unsuccessful Donations, the User agrees that Donaria's records will take precedence.
Refunds
Donations are generally non-refundable. However, in exceptional circumstances such as transaction failures due to payment issues, Donations may be refunded in accordance with the Payment Gateway's terms and conditions and our Refund Policy.
Article 8: Termination of Account
You may request to close your Account at any time by contacting us at support@donaria.id.
You acknowledge that Donaria may require prior verification and request additional data/information to process your request to terminate your Account.
We may deny your request to terminate your Account based on the following reasons:
- You are subject to an investigation, including regarding the use of the Services and/or Donaria Platform
- There are pending disputes between you and Donaria in relation to the Services and/or Donaria Platform
- You have outstanding account balances or obligations
You shall remain liable for all obligations related to your Account after the termination of your Account is effective. We will retain your information in accordance with our Privacy Policy and any applicable laws.
Donaria, based on its sole discretion, may terminate an Account if the User violates these Terms of Service, carries out activities that can cause losses to Donaria, or presents a security threat to the Donaria system, Services or other Users.
Article 9: User Representations and Warranties
You hereby represent and warrant the following to be true, accurate and not misleading in all aspects:
- You are legally capable and authorized to perform legal acts according to applicable laws, including to bind yourself to and carry out all terms and conditions in these Terms of Service
- You have read and understood the entire contents of these Terms of Service, and therefore agree to be bound by and comply with all terms and conditions in these Terms of Service
- You hereby declare and guarantee that the use of Donaria Services will only be used as specified in these Terms of Service in good faith and with full care and for legitimate purposes and does not violate applicable laws
- All content you upload, post, or share through the Services is your own or you have obtained all necessary rights and permissions to use such content
- You will not use the Services to infringe upon the rights of others
Article 10: Indemnity
Your use of the Services is at your own risk. All Services, content and software are provided "as is" or "as available." We expressly disclaim all warranties and conditions, whether express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose. We do not guarantee that the content or software will be accurate, timely, uninterrupted, free from errors or viruses, or non-infringing, nor do we promise that any issues will be resolved.
You acknowledge and agree that we will not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of products, data, use, or other intangible losses, even if we have been informed of the potential for such damages. This applies to any issues arising from your use of, or inability to use, the Services, content, or software, or any other related matters.
You agree to indemnify and hold us, along with our parents, subsidiaries, affiliates, customers, vendors, officers, and employees, harmless from any liability, damages, or costs (including reasonable attorney's fees) resulting from any claim or demand made by a third party arising from your access to or use of our Service, your violation of these Terms of Service, or your infringement of any intellectual property or other rights of any individual or entity.
Article 11: Disclaimer of Warranties
We do not warrant or guarantee that:
- Our Services are accurate, reliable or correct
- Our Services will meet your needs or be suitable for a specific purpose
- Our Services will be available at any given time or location, without interruption, errors, defects, or security issues
- Any error or defects will be fixed
- Our Services, information, content, materials, products (including software), or any other services offered through our products, the Donaria Platform, or electronic communications sent by us are free from viruses or other harmful elements
Article 12: Security
You are entirely responsible for maintaining the security of your Account and for any and all activities that occur under your Account. You agree to (a) immediately notify us of any unauthorized use of your Account or any other breach of security of which you become aware, and (b) exit completely from your Account at the end of each online session. We will not be liable for any loss that you may incur as a result of someone else using your Account, either with or without your knowledge. However, you could be held liable for losses incurred by us or another party due to someone else using your Account. You may not use another User's Account at any time, with or without the permission of the relevant User.
We reserve the right to monitor the use of Services at any time as we deem appropriate and to remove any materials that, in our sole discretion, may be illegal, may subject us to liability, may violate these Terms of Service, or are, in our sole discretion, inconsistent with our purpose for the Services.
We may, at our sole discretion, modify or discontinue any of the Services or any portion thereof, with or without notice. Neither we nor our affiliates will be liable to you or any third party for any modification or discontinuance of any of the Services.
Article 13: Intellectual Property
Our intellectual property rights, including but not limited to copyrights, patents, and trademarks, are exclusively owned by us and form part of our fixed assets. You should assume that all content you encounter in connection with your use of our Service is protected by our intellectual property rights or those of a third party who has granted us the right to use it. Unless explicitly stated otherwise, you may not copy, reproduce, modify, distribute, transmit, republish, display, or perform any content, source code, or HTML code used to deliver the Service for commercial purposes without our prior written consent, unless permitted by applicable laws.
You retain ownership of any content you create, upload, or post through the Services. However, by uploading or posting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content for the purpose of providing and promoting the Services.
We reserve the right to take any lawful actions we deem necessary in response to actual or suspected violations of the above, including but not limited to suspending or terminating the User's access and/or account.
Article 14: Changes to Terms and Services
These Terms of Service may be amended and/or updated periodically. By continuing to use our Services, you accept any changes to these Terms. If you do not agree with any such changes, you may discontinue your use of the Service.
Article 15: Dispute Resolution
In the event of a dispute between you and Donaria arising from or relating to these Terms of Service or its enforcement (a "Dispute"), either you or Donaria shall first:
- Issue a written notice of the Dispute ("Notice") to the other party
- Attempt to resolve such Dispute for at least thirty (30) calendar days upon receipt of such Notice
Your address for such Notices is the email address you have provided in your Account.
All Notices must state:
- Name of the party issuing the Notice
- Information of the Account involved in the Dispute
- A brief description of the Dispute
- Contact information of the party issuing the Notice
If you and we are unable to resolve the Dispute by negotiation in accordance with the above within thirty (30) calendar days upon receipt of such Notice, the Dispute shall be resolved through binding arbitration or through the courts as determined by applicable law.
Article 16: Governing Law
These Terms of Service and any other non-contractual obligations arising out of or in connection therewith are governed by the laws applicable in the jurisdiction where Donaria operates, without regard to conflict of law principles.
Article 17: Miscellaneous
In the event that part of this provision cannot be carried out, the remaining provisions are not cancelled and will continue to apply in full force. Donaria has the right to replace and/or change the void provisions with other provisions to the extent permitted by applicable laws and regulations.
If any provision of these Terms of Service is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms of Service shall otherwise remain in full force and effect and enforceable.
Article 18: Contact
Every notification from Donaria addressed to the User will be announced through the Site and sent via electronic mail (e-mail) or push notification through the Donaria Platform.
Every notification from the User addressed to Donaria becomes effective when the notification is received by Donaria through the email address support@donaria.id.
